Terms of Service & Licensing

1. Binding Agreement & Parties

These Terms of Service ("Agreement") form a legally binding contract between you (either an individual developer or an enterprise organization) and NDTechHub, the technology and AI innovation division of NAVDIVA Group Pvt Ltd, headquartered in Delhi NCR, India.

By downloading, installing, launching, or purchasing a license key for NIA 1.0 ("Software"), you agree to be bound by the terms outlined herein.

2. Software License Grants & Hardware Locking

NDTechHub grants you a non-exclusive, non-transferable license to execute NIA 1.0 according to your selected tier:

• 7-Day Test Flight (₹99 / $1): Grants unrestricted single-machine access to all Pro features for 7 calendar days starting upon license key generation. After Day 7, the license expires or converts to the monthly Pro subscription unless explicitly opted out.
• Pro Subscription (₹1,799/mo / $24): Grants continuous access to all 4 3D avatars, Swara Neural low-latency voice models, WhatsApp automation, and AST code tools on one active machine.
• Lifetime BYOK Pass (₹6,999 / $99): Grants perpetual desktop execution on one machine with free maintenance releases. Operates using your direct API key.
• Hardware Seat Locking: Licenses are locked to a cryptographic machine hash. Users requiring device migration can transfer their license once every 30 days via support.

3. User Operational Responsibility & Human-in-the-Loop

NIA 1.0 is an autonomous agent capable of initiating real operating system actions (launching applications, manipulating windows, saving files, running terminal scripts, sending WhatsApp alerts).

Human Approval Mandate: The software includes confirmation gates for sensitive operations (such as code commits, file deletions, and external messaging). You acknowledge that you retain final operational responsibility for actions initiated via your voice or text commands. NDTechHub is not liable for unintended actions resulting from ambiguous instructions.

4. Restrictions & Prohibited Conduct

You agree not to:

• Decompile, reverse engineer, or unpack proprietary compiled executables or avatar assets except as permitted by open-source tool libraries.
• Redistribute or resell generated license keys without an authorized commercial reseller agreement with NDTechHub.
• Use NIA 1.0 to perform denial-of-service, automated unsolicited spamming via WhatsApp, or unauthorized penetration testing.

5. Refund & Guarantee Policy

We stand firmly behind our software. If NIA 1.0 fails to install or execute properly on your compatible Windows 10/11 system due to verified software incompatibilities that our engineering team cannot resolve within 72 hours, we will issue a 100% full refund of your ₹99 Test Flight or subscription fee upon request within 7 days of purchase.

6. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the substantive laws of India. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts of Delhi NCR, India.
